These Terms of Use ("Terms") govern your access to and use of the uSort website, mobile applications, and related services (collectively, the "Platform"), provided by uSort ("uSort," "we," "us," or "our").
By accessing or using the Platform in any manner, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
uSort is a digital discovery platform that allows users to explore, review, and engage with businesses, services, and places. All listings, reviews, ratings, and content are provided for informational purposes only.
uSort does not own, operate, control, endorse, verify, or guarantee any business listed on the Platform, and is not a party to any transaction or interaction between users and businesses.

uSort may suspend, restrict, or terminate any account at its sole discretion, with or without notice, and without any obligation or liability.
Users may submit content such as reviews, ratings, replies, and other materials ("User Content").
You are solely and exclusively responsible for any content you submit. uSort does not review, verify, endorse, or assume any responsibility for User Content, and disclaims all liability arising from such content.
By submitting any content to the Platform, you grant uSort a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, fully sublicensable, and transferable license to host, use, store, reproduce, modify, translate, adapt, publish, distribute, display, and exploit such content in any form, media, or technology, for any purpose, without compensation or attribution.
You represent and warrant that you own or have the necessary rights to all content you submit, and that such content does not violate any law or third-party rights.
Reviews and ratings should be based on personal experience and submitted in good faith.
uSort reserves the absolute right, at its sole discretion and without notice or justification, to display, hide, modify, or remove any review or rating, with or without reason.
uSort does not guarantee the publication, visibility, or retention of any submitted content.
You agree not to post or engage in any content or conduct that includes or promotes:
Violations may result in content removal, account restrictions, or permanent suspension, at uSort's sole discretion and without prior notice.
Photos, videos, and other media uploads are not currently permitted within reviews, unless explicitly enabled by uSort.
Business listings may be created by uSort, users, or business representatives.

Claiming or verifying a business does not grant any ownership, control, or rights over reviews, ratings, or content associated with that business.
uSort may, at its sole discretion, allow verified business representatives to respond publicly to reviews. Verification, when granted, is a privilege, not a right, and may be denied, restricted, or revoked at any time without notice or justification.
Responses must comply with these Terms and all uSort policies. uSort may hide, modify, or remove any response at its sole discretion.
Verification does not grant immunity from moderation, nor does it confer any ownership or control over reviews, ratings, or other content.
A reporting function may be available for users to flag content. Submitting a report does not guarantee any action, and uSort retains absolute and final discretion in all moderation matters.
uSort may take or decline to take action regarding any reported content without obligation, explanation, or liability. Misuse of reporting tools may result in account restrictions.
uSort may use automated systems, including artificial intelligence, for content review, moderation, personalization, and operational purposes. Such systems may make decisions affecting users, with or without human involvement.
Where applicable, users posting paid, gifted, or sponsored content must disclose such relationships. uSort may, at its sole discretion, remove undisclosed sponsored content or take action against the relevant accounts.
Use of the Platform is also governed by uSort's Privacy Policy, which is incorporated by reference into these Terms.
All elements of the Platform, including but not limited to content, branding, logos, trademarks, designs, software, and code, are owned by uSort or its licensors and are protected by intellectual property laws.
You may not copy, reproduce, modify, distribute, reverse engineer, or exploit any part of the Platform without prior written permission.
The Platform is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, statutory, or otherwise.

You agree to defend, indemnify, and hold harmless uSort, its affiliates, partners, employees, agents, and licensors from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:
uSort may suspend, restrict, or terminate your access to the Platform at any time, for any reason or no reason, with or without notice, and without any liability or obligation. Upon termination, all provisions intended by their nature to survive shall survive.
uSort shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or service outages, cyberattacks, or any other unforeseen circumstances.
uSort may modify these Terms at any time, with or without notice. Continued use of the Platform constitutes acceptance of the revised Terms. It is your responsibility to review these Terms regularly.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by uSort to enforce any provision of these Terms shall not constitute a waiver of that provision or any other.
These Terms do not create any third-party beneficiary rights.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and uSort regarding the Platform, superseding any prior agreements.
These Terms are governed by and construed in accordance with applicable laws, without regard to conflict-of-law principles.
